1. About JadiMedia
JadiMedia is a sole proprietorship operated by Jadi Ramanathan, registered in Switzerland under UID CHE-229.050.468 and provides creative, digital, and marketing services to clients worldwide.
2. Scope of Services
JadiMedia offers services including but not limited to web design and development, branding, paid advertising, content strategy, photo and video production, and creative direction. The exact scope of services for each engagement is defined in a written proposal or service agreement agreed upon by both parties prior to the commencement of work.
3. Proposals and Agreements
All proposals issued by JadiMedia are valid for 30 days from the date of issue unless otherwise stated. A project commences only upon written confirmation from the client and receipt of any agreed deposit. Verbal agreements are not binding.
4. Pricing and Payment
All prices are quoted in Swiss Francs (CHF) unless otherwise agreed. Prices are based on the agreed scope of work. Any changes to the scope after commencement may result in additional charges, which will be communicated and agreed upon before proceeding. Payment terms are as follows unless otherwise specified in the proposal: a deposit of 50 percent of the total project value is due upon project confirmation. The remaining balance is due upon delivery of the final deliverables. For ongoing retainer agreements, invoices are issued monthly and due within 14 days of the invoice date. Late payments may incur interest charges of 5 percent per annum on the outstanding amount.
5. Revisions and Changes
The number of revision rounds included in each project is defined in the proposal. Revisions beyond the agreed number will be billed at an hourly rate communicated at the start of the project. Requests for significant changes to the agreed scope, direction, or deliverables after work has commenced may require a revised proposal and additional fees.
6. Client Responsibilities
The client is responsible for providing all necessary materials, content, access, and feedback in a timely manner. Delays caused by the client may affect the agreed project timeline. JadiMedia is not liable for delays resulting from late provision of materials or feedback from the client side.
7. Intellectual Property
Upon receipt of full and final payment, the client receives full ownership of the final deliverables produced specifically for their project. JadiMedia retains the right to display the work in its portfolio and marketing materials unless the client explicitly requests otherwise in writing before project commencement. Any third-party assets, tools, fonts, stock imagery, or software used in the project remain subject to their respective license agreements. It is the client's responsibility to ensure ongoing licensing compliance after handoff.
8. Confidentiality
JadiMedia treats all client information, business data, and project details as strictly confidential and will not share them with third parties without the client's written consent, except where required by law.
9. Advertising and Third-Party Ad Spend
For paid advertising engagements, the client is solely responsible for funding their own ad accounts. Ad spend paid directly to platforms such as Meta and Google is separate from JadiMedia's management fee and is not refundable by JadiMedia under any circumstances. JadiMedia manages campaigns with professional diligence but does not guarantee specific advertising results, as performance is subject to platform algorithms, market conditions, and audience behavior beyond our control.
10. Limitation of Liability
JadiMedia will always deliver work to the highest professional standard. However, JadiMedia shall not be liable for any indirect, incidental, or consequential damages arising from the use of deliverables or services, including but not limited to loss of revenue, loss of data, or business interruption. Our total liability in any case shall not exceed the total fees paid by the client for the relevant project.
11. Termination
Either party may terminate a project with 14 days written notice. In the event of termination, the client is liable for payment of all work completed up to the date of termination. The deposit is non-refundable in all cases. If JadiMedia terminates the agreement due to the client's breach of these terms, no refund will be issued for work already completed.
12. Governing Law
These terms and conditions are governed by Swiss law. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland.
13. Changes to These Terms
JadiMedia reserves the right to update these terms at any time. The current version is always available on this page. Continued use of our services after any update constitutes acceptance of the revised terms.
